These Terms govern your use of Ambi's websites, applications, early-access products, connected-service integrations, and related services. They are written for the product Ambi is becoming: a context layer that can listen, remember, summarize, draft, and carry work across tools when you ask it to.
Ambi is currently an early-access product. It may change, break, misunderstand context, or be unavailable. Keep your own copies of important information and review important AI output before relying on it.
Section 01
Acceptance
These Terms of Service ("Terms") are a binding agreement between you and Ambi ("Ambi," "we," "us," or "our"). By using the Service, creating an account, joining early access, connecting a service, or accessing our websites, you agree to these Terms and to our Privacy Policy.
If you use Ambi for an organization, you represent that you have authority to bind that organization. If you do not agree to these Terms, do not use the Service.
Section 02
Eligibility and accounts
You must be at least 18 years old, or the age of majority where you live, to use Ambi. The Service is not intended for children.
You are responsible for activity under your account, for keeping credentials and devices secure, and for providing accurate information. Tell us promptly at hello@ambi.ai if you suspect unauthorized access.
Section 03
The Service
Ambi helps you capture context, turn it into memory, understand what needs attention, draft or summarize work, and take actions through connected services at your direction. Features may include listening, transcription, summaries, reminders, memory, device sync, browser or desktop context, and integrations with communication, calendar, document, and workflow tools.
The Service is offered in early access. Features may be experimental, incomplete, modified, interrupted, rate-limited, or discontinued. We may add or remove features as we learn what is useful and safe.
Section 04
Listening and recording
If you enable listening or transcription, you are responsible for using those features lawfully. Laws about recording, consent, notice, biometric or voice data, workplace monitoring, and meeting capture vary by location. You must provide any notice and obtain any consent required before recording or processing a conversation.
You may not use Ambi to secretly record people where that is prohibited, to evade consent requirements, or to process conversations you do not have the right to capture. If a participant objects, you should stop recording or processing unless you have another lawful basis to continue.
Section 05
Connected services
Ambi can connect to third-party services you authorize, such as calendar, email, file, messaging, browser, meeting, or productivity tools. By granting a permission or connecting a service, you authorize Ambi to access, process, and act on that service within the scope you grant and only as needed to provide the Service or complete your requests.
- You must have the right to connect the service and share the data involved.
- Your use of each connected service remains governed by that service's own terms and privacy policy.
- You can revoke permissions or disconnect services, but doing so may limit what Ambi can do.
- You are responsible for actions Ambi takes through connected services at your direction, such as sending a message, drafting an email, or creating a calendar event.
Section 06
Your content
You keep ownership of content you provide, connect, capture, upload, or ask Ambi to generate for you, including transcripts, notes, tasks, files, messages, memories, prompts, instructions, summaries, and drafts ("Your Content").
You grant Ambi a limited, worldwide, non-exclusive license to host, store, copy, process, transmit, display, and create derived outputs from Your Content only as needed to provide, secure, maintain, and improve the Service, comply with law, and perform actions you request. This license ends when Your Content is deleted from our active systems, except for retained backups, logs, legal records, or de-identified data as described in our Privacy Policy.
You are responsible for having all rights and permissions needed for Your Content and for any instructions you give Ambi about it.
Section 07
AI output
Ambi uses AI to transcribe, summarize, search, classify, draft, reason over context, and complete tasks. AI output may be inaccurate, incomplete, biased, unsafe, duplicated, or out of date. It may misunderstand names, dates, intent, legal obligations, or the difference between fact and suggestion.
You are responsible for reviewing AI output before relying on it, publishing it, sending it, making decisions from it, or using it in a consequential setting. Ambi does not provide legal, medical, financial, employment, security, or other professional advice.
We do not use Your Content to train third-party AI models, and we do not permit our model providers to train on Your Content, unless you consent. Optional improvement programs, if offered, will be described separately.
Section 08
Plans and payments
Some features may be free, invite-only, beta, paid, usage-limited, or subscription-based. If we offer paid plans, prices, renewal terms, usage limits, taxes, cancellation rules, refund rules, and trial terms will be shown at purchase or in the applicable order flow.
If you buy through an app store, payment processor, or other third party, that party's billing terms may apply. Unless required by law or stated in the applicable plan terms, fees are non-refundable and subscriptions renew until canceled.
Section 09
Acceptable use
You agree not to:
- Violate law, privacy rights, intellectual-property rights, publicity rights, or third-party service rules.
- Record, monitor, or process people without required notice, consent, or lawful authority.
- Upload or process content you do not have the right to use.
- Use Ambi to harass, deceive, threaten, exploit, spam, surveil, discriminate, or harm others.
- Seek unauthorized access, probe systems, bypass limits, scrape, disrupt, reverse engineer, or compromise the Service.
- Use the Service or output to build a competing product, benchmark models publicly without permission, or train machine-learning models without our written consent.
- Remove proprietary notices, impersonate others, misrepresent AI output as human-authored where disclosure is required, or use Ambi in a way that creates legal or safety risk.
We may investigate, limit, suspend, or terminate access if we believe these rules are being violated or if needed to protect users, third parties, or the Service.
Section 10
Intellectual property
Ambi and its licensors own the Service, including software, models, interfaces, designs, documentation, brand, logos, and other materials we provide. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for your own lawful purposes during your access period.
You may not copy, sell, sublicense, modify, distribute, or create derivative works from the Service except as these Terms allow. If you give feedback, suggestions, or ideas, we may use them without obligation to you.
Section 11
Third-party services
The Service may connect to, rely on, or link to third-party services, models, APIs, websites, app stores, and platforms. We do not control those third parties and are not responsible for their content, availability, security, terms, or privacy practices. Your relationship with them is between you and them.
Section 12
Privacy
Our Privacy Policy explains what we collect, how we process connected-service data, listening data, transcripts, live context, memory, and AI processing, and how you can exercise privacy rights. It is part of these Terms.
Section 13
Service changes
We may modify, suspend, discontinue, limit, or update the Service or any feature at any time. We will try to give reasonable notice for material changes where practical, but early-access features may change quickly.
Section 14
Suspension and termination
You may stop using Ambi at any time. We may suspend or terminate your access if you violate these Terms, create risk, fail to pay applicable fees, use the Service unlawfully, or if we discontinue the Service.
After termination, your right to use the Service ends. Sections that by their nature should survive will survive, including ownership, content licenses for retained copies, payment obligations, disclaimers, liability limits, indemnity, dispute terms, and provisions needed to enforce these Terms.
Section 15
Disclaimers
The Service is provided "as is" and "as available." To the fullest extent permitted by law, Ambi disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and reliability.
We do not warrant that the Service will be secure, uninterrupted, error-free, compatible with every system, or that AI output will be correct or suitable for your use. Some jurisdictions do not allow certain disclaimers, so some may not apply to you.
Section 16
Liability limits
To the fullest extent permitted by law, Ambi and its officers, employees, contractors, suppliers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, content, business interruption, or substitute services, even if we were advised that such damages were possible.
To the fullest extent permitted by law, our total liability for all claims relating to the Service or these Terms will not exceed the greater of the amount you paid Ambi for the Service in the twelve months before the claim or US$100. These limits apply to all theories of liability. Some jurisdictions do not allow certain limits, so some may not apply to you.
Section 17
Indemnity
You agree to indemnify and hold harmless Ambi and its officers, employees, contractors, suppliers, and licensors from claims, damages, losses, liabilities, costs, and expenses, including reasonable legal fees, arising from Your Content, your use of the Service, your use of connected services or recording features, your violation of these Terms, or your violation of law or third-party rights.
Section 18
Law and disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules. Subject to applicable law, the state and federal courts located in Delaware will have exclusive jurisdiction and venue for disputes arising from these Terms or the Service.
Before filing a formal claim, please contact legal@ambi.ai so we can try to resolve the issue directly. Nothing in these Terms limits mandatory consumer-protection rights that apply where you live.
Section 19
Term changes
We may update these Terms as the Service evolves. If changes are material, we will update the date above and provide notice where appropriate. Continued use after changes take effect means you accept the updated Terms. If you do not agree, stop using the Service.
